TERMS OF USE & DEBT DIAGNOSIS TERMS

1. About Dr. Debt

Dr. Debt is an AI-powered corporate debt intelligence and diagnostic service offered by Truework Capital (“Truework”, “we”, “us” or “our”). Dr. Debt provides a preliminary, informational assessment of a company’s existing debt position and potential areas for improvement. Dr. Debt is not a lender, bank, credit-rating agency, legal adviser, tax adviser or investment adviser.

2. What the Free Debt Diagnosis Includes

The initial Debt Diagnosis is provided free of cost. Subject to the information reasonably available to us, it may cover:

• Debt health and key debt-related indicators.
• Interest cost and potential pricing or refinancing opportunities.
• Collateral utilisation and potential collateral efficiency.
• Personal guarantees and potential opportunities for reduction or release.
• Repayment tenor and alignment with the business's cash-flow profile.
• Covenants and other debt terms that may restrict business flexibility.
• Potential actions and indicative financial benefits or savings opportunities.

3. Information Used for the Diagnosis

No financial data is required to request the initial diagnosis. Dr. Debt may use publicly available information, information available through lawful research, and the basic details submitted through the request form. If you voluntarily provide additional information at a later stage, that information may be used to refine the diagnosis, subject to the Privacy Policy. Where sufficient information is not publicly available, the diagnosis may be limited, indicative or based on reasonable assumptions. We do not represent that every element of a company’s debt portfolio will be identified.

4. AI and Expert Review

Dr. Debt uses AI-assisted analysis to identify patterns, benchmarks, gaps and potential opportunities. AI-generated findings are reviewed and/or validated by finance and debt professionals before the report is delivered. AI output may contain errors, omissions or assumptions. The report should therefore be treated as a diagnostic and discussion document, not as a definitive statement of financial, legal, tax or credit position.

5. No Guarantee or Professional Advice

The Debt Diagnosis is provided for informational and business discussion purposes only. Any potential savings, rate improvement, collateral release, guarantee reduction, refinancing opportunity or other financial benefit stated in a report is indicative and is not guaranteed. The diagnosis does not constitute legal, tax, accounting, investment, lending, credit-rating or other regulated professional advice. You should obtain appropriate professional advice before taking any financial, contractual or restructuring decision.

6. Confidentiality

We intend to treat information submitted by you in connection with the Debt Diagnosis as confidential, subject to the disclosures and permitted uses described in the Privacy Policy, our service-provider arrangements, applicable law, and any separate confidentiality agreement entered into between the parties.

7. Your Representations

By submitting a request, you confirm that you are authorised to provide the submitted company and contact information and to request the Debt Diagnosis on behalf of the company, where applicable. You agree not to submit information that you are not legally entitled to disclose.

8. Intellectual Property

The Dr. Debt name, branding, website, report format, methodologies, scoring approaches, software, models, workflows, content and related intellectual property belong to Truework or its licensors. The Debt Diagnosis Report prepared for you may be used internally by the recipient company for its own business purposes, but may not be reproduced, resold, repackaged or commercially distributed without our prior written consent.

9. Acceptable Use

• Do not attempt to gain unauthorised access to the Dr. Debt website, systems, models or data.
• Do not use the service to submit false, misleading or unlawfully obtained information.
• Do not reverse engineer, scrape, copy or commercially exploit the service or its proprietary methodologies.
• Do not use the service for any unlawful purpose.

10. Availability and Changes

We may modify, suspend or discontinue any part of Dr. Debt, including the free diagnosis process, website features or report format, at any time. We may also update these Terms from time to time. The version published on the website will apply to future requests from its effective date.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Truework shall not be liable for any indirect, consequential, incidental, special or loss-of-profit damages arising from reliance on a Debt Diagnosis, or from interruption, delay, inaccuracy or unavailability of the service. Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Subject to applicable law, courts having jurisdiction in Mumbai, Maharashtra shall have jurisdiction over disputes arising from or relating to these Terms.
